Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Idlery mobile application and related services (collectively, the “Service”). The Service is operated by Idlery (the “Company,” “Idlery,” “we,” “us,” or “our”).

1. Acceptance of Terms

By downloading, installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with permission of a parent or legal guardian who agrees to these Terms.

3. Accounts and Security

• Account registration: You must provide accurate information and keep it up to date.
• Credentials: You are responsible for safeguarding your credentials and all activity on your account.
• Prohibited sharing: Do not share accounts or impersonate others.
• Suspicious activity: Notify us at support@idlery.com if you suspect unauthorized access.

4. The Idlery Marketplace

Idlery may allow users to discover shops and providers (“Shop Owners”) and request or purchase services/goods (“Customers”).

• Idlery is a platform: Shop Owners are independent and are not employees or agents of Idlery.
• No guarantee: We do not guarantee availability, quality, safety, legality, or suitability of any Shop Owner, listing, or service.
• Disputes: Disputes between Customers and Shop Owners are primarily between those parties, but we may provide tools and support at our discretion.

5. Shop Owner Responsibilities

If you operate a shop or sell services/goods:

• You represent you have the right to offer your goods/services and comply with applicable laws (licensing, taxes, consumer protection, etc.).
• You are responsible for listing accuracy, pricing, fulfillment, refunds (as applicable), and customer communications.
• You will not use the Service to sell illegal, infringing, or prohibited items/services.

6. Payments, Fees, and Payouts

If the Service enables payments:

• Third-party processor: Payments may be processed by a third-party payment processor (e.g., Stripe). Your use of payment features may also be subject to the processor’s terms.
• Fees: Idlery may charge platform fees and/or other fees disclosed in the app or in separate payment terms.
• Chargebacks and disputes: Shop Owners are responsible for chargebacks, disputes, and related fees, subject to processor rules.
• Payouts: Payout timing and availability may be affected by processor risk checks, verification requirements, reserves, chargebacks, disputes, or legal compliance.

7. Subscriptions and In-App Purchases (if applicable)

If the Service offers subscriptions or paid features:

• Billing: Purchases may be processed by Apple (App Store) or Google (Google Play) or other payment providers, depending on the feature.
• Auto-renewal: Subscriptions may auto-renew unless canceled prior to the renewal date.
• Manage/cancel: You manage subscriptions in your device’s store account settings.
• Refunds: Refunds are handled per the store’s policies (Apple/Google) unless otherwise required by law.

8. User Content and Community Guidelines

The Service may allow you to submit content (text, images, messages, listings, reviews, etc.) (“User Content”).

• Your responsibility: You are responsible for User Content you post and for ensuring it does not violate laws or third-party rights.
• License to Idlery: You grant Idlery a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, display, and distribute your User Content as needed to operate, improve, and promote the Service.
• Removal: We may remove or restrict User Content at any time for any reason.

Prohibited content/behavior includes (non-exhaustive):

• Illegal goods/services, scams, fraud, or deceptive practices
• Hate speech, harassment, threats, or exploitation
• Sexual content involving minors; any CSAM will be reported to authorities
• Infringement of copyrights/trademarks or privacy rights
• Malware, spam, scraping, or attempts to bypass security

9. Intellectual Property

The Service and its content (excluding User Content) are owned by Idlery and its licensors and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly allowed.

10. Third-Party Services and Links

The Service may integrate or link to third-party services (payments, shipping, maps, analytics, etc.). We are not responsible for third-party services, and your use of them is subject to their terms and policies.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. You agree that we can collect and use information as described there.

12. Termination

We may suspend or terminate your account or access to the Service at any time, with or without notice, including for violations of these Terms or for risk/security reasons. You may stop using the Service at any time.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, Idlery will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

15. Indemnification

You agree to indemnify and hold harmless Idlery and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your use of the Service, your User Content, or your violation of these Terms or the rights of others.

16. Governing Law; Venue

These Terms are governed by the laws of the jurisdiction where Idlery is organized, without regard to conflict of law principles. You agree to exclusive jurisdiction and venue in the courts located in that jurisdiction, unless prohibited by applicable law.

17. Changes to Terms

We may update these Terms from time to time. If we make material changes, we may provide notice (e.g., in-app notice). Continued use after changes means you accept the updated Terms.

19. App Store / Google Play Additional Terms

Apple App Store: You acknowledge these Terms are between you and Idlery, not Apple. Apple is not responsible for the Service or its content. To the extent permitted by law, Apple has no obligation to provide maintenance or support. Apple is a third-party beneficiary of these Terms and may enforce them against you.

Google Play: You acknowledge these Terms are between you and Idlery, not Google. Google is not responsible for the Service or its content.
